Terms of Service - Nexaflo Automations

1. Service Description

Nexaflo Automations provides AI-powered automation consulting and implementation services to business clients, including workflow automation and support communications via WhatsApp; marketing communications may be sent to opted-in business contacts.

2. Eligibility and Accounts

Services are provided to business users, who represent and warrant authority to bind their organization and agree to comply with applicable laws and platform policies when engaging through Meta/WhatsApp.

3. Acceptable Use

Clients will not misuse services or messaging channels, will respect opt-ins and template rules, and will not send prohibited content; use must comply with WhatsApp Business Platform policies and Meta Platform Terms at all times.

4. Messaging and Billing

Clients may receive service messages, proposals, invoices, and payment links; WhatsApp and Meta may process related data and metrics to provide business insights and billing as described in their respective terms.

5. Fees and Payments

Project or subscription fees are as agreed in written proposals or order forms; third-party payment processors may be used, and payment terms, taxes, and receipts are handled per the applicable agreement.

6. Intellectual Property

Nexaflo retains rights in pre-existing tools, processes, and materials; clients receive the scope-specific rights defined in proposals; client-provided logos and materials remain client property.

7. Confidentiality

Both parties will protect non-public information disclosed during the engagement and use it only to fulfill the services, subject to exceptions for information that is public, independently developed, or legally required to be disclosed.

8. Data Protection

Processing of contact, business, and transactional information is governed by the Privacy Policy; clients agree that platform policies may apply in addition to these Terms when communications occur via Meta/WhatsApp.

9. Data Deletion

Upon request submitted through the Data Deletion URL or via WhatsApp/email, Nexaflo will delete data consistent with the Privacy Policy and platform requirements; where a Meta deletion callback is implemented, requests received from Meta will be processed and confirmed.

10. Disclaimers

Services are provided "as is" to the extent permitted by law; complex automation outcomes may depend on client systems and third-party platforms; Nexaflo disclaims warranties not expressly stated.

11. Limitation of Liability

To the extent permitted by law, Nexaflo's aggregate liability under these Terms is limited to fees paid for the services giving rise to the claim, excluding indirect or consequential damages.

12. Termination

Either party may terminate per the engagement terms; upon termination, access to messaging integrations and deliverables that depend on platform access may cease; obligations that by nature should survive will remain in effect.

13. Governing Law and Disputes

These Terms are governed by the laws of India; parties agree to good-faith efforts to resolve disputes before formal proceedings.

14. Changes to Terms

Nexaflo may update these Terms by posting a revised version with an effective date; continued use after changes constitutes acceptance of the updated Terms.
